These Terms of Service ("Terms") are a legal agreement between you and MAK Star Venture LLC ("Nepali Gurukul," "we," "us," or "our") governing your access to and use of nepaligurukul.com, our applications, content, AI guides GURU and GURU AAMA, tutoring marketplace, and related services (the "Services").

If you are a parent or guardian, you accept these Terms for yourself and for any child whose account you create or authorize. If you use the Services for an organization, you represent that you can bind that organization. If you do not agree, do not use the Services.

1. Eligibility and accounts

You must be legally able to enter this agreement. Individuals under the age of majority may use the Services only with a parent’s or legal guardian’s permission and supervision. A parent or guardian must create or authorize a child account as required by law. You must provide accurate information, keep it current, safeguard your login credentials, and promptly notify us of suspected unauthorized access.

You are responsible for activity under your account and for ensuring that profiles in your family account are used appropriately. Do not create an account for someone else without authorization, impersonate another person, or share account credentials except through features we expressly provide for family access.

2. Our Services

Nepali Gurukul offers learning content and tools that may include language lessons, cultural and wellness content, stories, games, progress tracking, AI-assisted interactions, payment features, and connections to independent tutors. Features, content, availability, and age eligibility may change by region, device, plan, and time.

The Services are educational and informational. They are not medical, mental-health, legal, financial, emergency, or professional educational services. Do not rely on the Services for emergency help or as a substitute for qualified professional advice.

3. AI features

GURU and GURU AAMA and related AI features may generate explanations, feedback, stories, recommendations, translations, or other content. AI outputs may be inaccurate, incomplete, biased, or inappropriate for a particular person or setting. You and the responsible parent/guardian must use judgment before relying on, sharing, or acting on AI output.

Do not provide highly sensitive information, another person’s personal information, or unlawful content to AI features. Do not use AI output to cheat, deceive, harass, create harmful content, or make high-impact decisions about a person. We may limit, filter, review, or suspend AI features to protect users and the Services. AI features for children may have additional parental controls and safety limits.

4. Child safety and parent responsibilities

Parents and guardians are responsible for supervising children’s use of the Services, selecting age-appropriate settings, and reviewing any tutoring, communication, or community feature before use. You must not use the Services to collect children’s information, contact children outside approved features, or circumvent parent/guardian controls.

We may provide safety tools, moderation, and reporting mechanisms, but they are not a guarantee that all harmful, inaccurate, or inappropriate content will be prevented. Report a concern at nepaligurukul@gmail.com. If anyone is in immediate danger, contact local emergency services.

5. Subscriptions, purchases, and billing

Some features require a paid subscription, purchase of virtual items or coins, or tutoring-session payment. Prices, taxes, currencies, trial terms, included features, and renewal intervals will be displayed before purchase.

Subscription renewal and cancellation

Unless stated otherwise at checkout, subscriptions automatically renew at the stated interval until cancelled. You authorize us or our payment provider to charge the payment method on file for each renewal, including applicable taxes. You may cancel through your account settings or the app store through which you purchased, subject to the instructions shown at purchase. Cancellation generally takes effect at the end of the current paid period; access remains available until then unless otherwise required by law.

Except where required by law or expressly stated at purchase, fees are non-refundable and we do not provide prorated refunds for an unused portion of a subscription. Free trials may convert to paid subscriptions unless cancelled before the trial ends; we will disclose this before enrollment.

Coins and virtual items

Coins, hearts, cosmetic items, game access, and other virtual items are limited, revocable licenses for use only within the Services. They have no cash value, cannot be transferred, sold, exchanged, or redeemed for money, and may expire or be modified as disclosed in the applicable feature. We may correct pricing or availability errors and cancel affected transactions with notice where reasonable.

Payment processors and app stores

Payments may be processed by Stripe, Apple, Google, or another disclosed provider, whose terms also apply. If you purchase through an app store, that store—not us—may control billing, refunds, and cancellation tools. We are not responsible for payment-provider or app-store processing failures to the extent permitted by law.

6. Tutoring marketplace and live sessions

The Services may help learners and families discover, schedule, communicate with, and pay independent tutors. Unless we specifically state otherwise in a written agreement, tutors are independent service providers, not employees, agents, or partners of Nepali Gurukul. We do not guarantee a tutor’s availability, qualifications, teaching outcomes, or suitability for your circumstances.

Parents or guardians must approve and supervise tutoring for minors as appropriate. Follow the booking rules, cancellation policy, safety guidelines, and platform communication requirements displayed at booking. Do not take transactions, communications, or sessions off-platform to evade fees or safety controls. Do not record a session without clear notice and all consent required by law.

Tutors must accurately describe qualifications, maintain all required legal permissions and safeguarding obligations, use the platform’s child-safety practices, protect learner information, and comply with their separate tutor agreement.

We may investigate safety reports and restrict, remove, or suspend a tutor, learner, or booking. This does not create a duty to monitor every interaction or make us responsible for independent tutor conduct, except as law does not permit us to disclaim.

7. Acceptable use

You must use the Services lawfully and respectfully. You may not:

We may remove content, restrict features, suspend accounts, cancel bookings, or take other action when we reasonably believe a violation, safety risk, fraud, or legal requirement exists.

8. Your content and feedback

You retain ownership of content you submit, such as writing, recordings, artwork, or messages ("User Content"). You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, reproduce, modify, display, transmit, and process User Content only as needed to operate, secure, improve, and provide the Services, including AI and tutoring features you elect to use. This license ends when your User Content is deleted from our active systems, except to the extent it has been shared with others, retained in backups for a limited period, or must be retained by law.

You represent that you have all rights and permissions needed to submit User Content and grant this license. Do not submit content that infringes another person’s rights. We may use feedback without restriction or compensation.

9. Our intellectual property

The Services, including software, curriculum, stories, characters, graphics, logos, audiovisual material, design, and trademarks, are owned by or licensed to Nepali Gurukul and protected by law. Subject to these Terms and your applicable paid plan, we grant you a limited, personal, revocable, non-transferable, non-sublicensable license to use the Services for their intended personal or authorized educational purpose.

"Nepali Gurukul," GURU, GURU AAMA, and associated marks may not be used without our written permission. No ownership right is transferred to you.

10. Copyright complaints

If you believe content on the Services infringes your copyright, send a notice to nepaligurukul@gmail.com with: the copyrighted work; the allegedly infringing material and its location; your contact details; a statement of good-faith belief; a statement under penalty of perjury that the notice is accurate and that you are authorized to act; and your physical or electronic signature.

11. Third-party services and links

The Services may integrate third-party providers, including payment processors, video platforms, AI providers, app stores, and external links. Their services are governed by their own terms and privacy policies. We do not control and are not responsible for third-party services or content.

12. Suspension and termination

You may stop using the Services at any time. You may request account deletion as described in the Privacy Policy, subject to legal and operational retention requirements. We may suspend or terminate access, remove content, or cancel a booking if we reasonably believe it is necessary for safety, security, fraud prevention, legal compliance, nonpayment, or a violation of these Terms.

On termination, your license to use the Services ends. Sections that by their nature should survive—including payments owed, intellectual property, disclaimers, limitation of liability, indemnity, and dispute provisions—survive.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT CONTENT, AI OUTPUT, TUTORING, OR LEARNING RESULTS WILL BE ACCURATE, SAFE, COMPLETE, OR SUITABLE FOR EVERY USER.

Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEPALI GURUKUL AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100. This limitation does not exclude liability that cannot legally be excluded or limited.

15. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless Nepali Gurukul and its affiliates, personnel, licensors, and service providers from claims, damages, losses, and expenses (including reasonable legal fees) arising out of your User Content, your misuse of the Services, your violation of these Terms or law, or your infringement of another person’s rights. A parent or guardian accepts this obligation for their own conduct and, to the extent permitted by law, the conduct of a child they authorize to use the Services.

16. Disputes; governing law

These Terms are governed by the laws of California, USA, excluding conflict-of-law rules. Before filing a claim, contact us at nepaligurukul@gmail.com and allow 30 days to try to resolve the dispute informally.

Nothing in these Terms limits non-waivable consumer rights or prevents a user from bringing a matter in small-claims court or before a regulator where permitted.

17. Changes to the Services or Terms

We may modify the Services and these Terms from time to time. We will post revised Terms with a new effective date and provide additional notice for material changes when required. If you continue to use the Services after the effective date, you accept the revised Terms. If you do not agree, stop using the Services and cancel any subscription.

18. General terms

These Terms, the Privacy Policy, and any additional terms presented for a specific feature form the entire agreement between you and us regarding the Services. If a provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or transfer of assets. There are no third-party beneficiaries except where expressly stated.
